Napa Valley Distillery Returns to Indiegogo/Microventures with Reg D Offer

Less than six months after completing its first Reg CF round, Napa Valley Distillery has returned to Indiegogo/Microventure’s equity crowdfunding platform with a Reg D – 506 (C) offer. The earlier CF round raised $772,112 for a revenue loan that expects to pay investors 1.5X their investment.

The Reg D is a Series Seed Preferred at a pre-money valuation of $11.5 million. To date, $100,000 has been raised from 8 different investors. The minimum investment has been set at $5000.

The company said the funds from the Reg D campaign will be used for:

“… increasing production and inventory to be able to properly create and pursue distribution and export opportunities. Additionally, the Napa Valley Distillery plans on using some of the funds to grow its two smaller revenue streams – online sales and event space rentals.”

The Distillery then noted it plans to build out a full kitchen and operate a small restaurant in its main location. By having a kitchen within the distillery, it will become a “bona fide eating place” as categorized under the California Alcoholic Beverage Control Act.

The company also reported that it has had some slight growth since the CF round, as memberships increased from 2,000 to 2200. At $320 per year for a membership this equates to $704,000 in annual recurring revenue.
